Terms of Service

Last updated: September 30, 2026

1. Acceptance of Terms

These Terms of Service (the “Terms”) govern access to and use of CauseWell, a software service operated by Anita Hintz, carrying on business as CauseWell Solutions (“CauseWell,” “we,” “us,” or “our”). By creating an account, accepting an invitation, starting a free trial, purchasing a subscription, or otherwise using CauseWell (the “Service”), you agree to these Terms. When you create an account, you will be asked to confirm your acceptance of these Terms and the CauseWell Privacy Policy by selecting a checkbox or button. If you do not agree to these Terms, do not use the Service.

If you use CauseWell on behalf of a charity, nonprofit organization, corporation, association, or other entity (the “Organization”), you represent that you have authority to accept these Terms on its behalf. In that case, references to “you” include both you and the Organization where appropriate. The Service is intended for use by Organizations for organizational purposes and is not offered for personal, family, or household use.

2. The CauseWell Service

CauseWell is a governance, accountability, and organizational practice-management platform designed primarily for Canadian charities and nonprofit organizations. The Service may allow Organizations to track governance and compliance practices, assign responsibilities, establish review schedules and due dates, maintain board, staff and volunteer information, request and record approvals, upload supporting evidence, receive notifications, generate reports, and use optional AI-assisted drafting tools.

We may add, modify, improve, replace, or discontinue features from time to time in accordance with these Terms.

3. Eligibility and Authority

You must be at least 18 years old and the age of majority in your province or territory of residence to create or administer a CauseWell account. If you create an Organization in CauseWell, you represent that you are authorized to act on behalf of that Organization, that the Organization is validly existing under applicable law, that the information you provide is accurate, and that the Organization is legally permitted to provide CauseWell with information entered into the Service.

4. Accounts and Access

You are responsible for maintaining the confidentiality and security of your login credentials and for all activity under your account. You agree to provide accurate account information, use reasonable safeguards to protect your credentials, promptly notify CauseWell of suspected unauthorized access, and ensure users are assigned permissions appropriate to their responsibilities. CauseWell is not liable for any loss or damage arising from your failure to comply with the foregoing obligations.

Organizations are responsible for determining which individuals should have access to their CauseWell account and what roles and permissions those individuals should receive.

5. Organization Administrators

An Organization may designate one or more users with administrative authority. Administrators may be able to invite and remove users, assign roles and permissions, manage Organization settings, view or modify Organization Data, and manage subscription information. CauseWell generally relies on an Organization’s designated administrators to manage access to that Organization’s account and is not responsible for actions taken by an Organization’s administrators within the Service.

6. Organization Data

“Organization Data” means information, documents, records, comments, files, links, and other content submitted to or created within CauseWell by or on behalf of an Organization. The Organization retains ownership of its Organization Data. CauseWell does not acquire ownership of Organization Data merely because it is stored or processed through the Service.

The Organization is responsible for determining what information it enters into CauseWell, ensuring that information is lawful and appropriate to collect, obtaining any permissions or consents required, maintaining appropriate access permissions, and ensuring its use of CauseWell complies with applicable laws and organizational policies.

The Service is not designed to store Social Insurance Numbers, payment card or bank account numbers, government identification numbers, or detailed health information. Organizations should not enter this type of information into CauseWell unless it is necessary for a legitimate organizational purpose, and in that case remain solely responsible for determining that doing so is appropriate and for any consequences arising from doing so. CauseWell will have no liability for any loss, breach, or regulatory action relating to sensitive information an Organization chooses to enter into the Service.

7. Licence to Process Organization Data

You grant CauseWell a limited, non-exclusive licence to host, store, transmit, reproduce, back up, display, and otherwise process Organization Data only as reasonably necessary to provide the Service, operate requested features, provide support, maintain security, prevent abuse, troubleshoot technical issues, perform backups and recovery, improve the reliability and functionality of the Service, and comply with applicable law. This licence continues after termination or cancellation to the extent reasonably necessary for CauseWell to perform its post-termination obligations under these Terms, including data retention, export, and deletion. CauseWell may also collect and use aggregated or de-identified information about how the Service is used (which does not include the content of Organization Data and does not identify any Organization or individual) to operate, secure, and improve the Service.

CauseWell does not sell Organization Data and does not use Organization Data for third-party advertising. Our handling of personal information is further described in the CauseWell Privacy Policy.

8. Artificial Intelligence Features

CauseWell may provide optional AI-assisted functionality, including the “Draft with AI” tool, which helps users draft policies or other organizational content (“AI Features”). Content generated by an AI Feature (“AI Output”) is identified as AI-generated within the Service. CauseWell currently uses Anthropic, PBC, a United States-based provider, to support certain AI-assisted functionality. When you choose to use an AI feature, information submitted as part of that request will be transmitted to the applicable AI service provider, and processed outside Canada, to generate the requested response.

You are responsible for reviewing all AI-generated content before relying on or using it. AI-generated material may contain errors, be incomplete, be inappropriate for your Organization, or require professional review. AI Output is provided as a drafting aid only and does not constitute legal, accounting, HR, tax, governance, compliance, or other professional advice. Before adopting any policy or other document prepared with an AI Feature, your Organization should have it reviewed by a person with appropriate qualifications, including a lawyer where the document has legal effect. AI Output may be similar or identical to output generated for other users, and CauseWell does not warrant that AI Output is original, accurate, complete, current, or suitable for your Organization.

You must not submit confidential, highly sensitive, or unnecessary personal information to an AI Feature unless your Organization has determined that doing so is appropriate and has obtained any required consents.

CauseWell does not use Organization Data, AI Feature inputs, or AI Output to train artificial intelligence models, and under the AI service provider’s commercial terms in effect as of the date of these Terms, the provider does not use this information to train its models. AI Features are not used to make decisions about individuals, and CauseWell does not use AI Features to make any decision about your Organization or its users without human involvement.

As between you and CauseWell, and subject to CauseWell’s rights in the Service and its templates and starter libraries, your Organization owns the AI Output generated for it and may use it for any lawful purpose. You are responsible for the information you submit to an AI Feature and for how your Organization uses AI Output. CauseWell may apply reasonable usage limits to AI Features, and may modify, suspend, or discontinue an AI Feature where required for legal, security, or operational reasons or because a third-party AI provider changes or discontinues its service.

9. Acceptable Use

You may not use CauseWell to violate applicable law; infringe another person’s rights; access another Organization’s information without authorization; circumvent permissions or security controls; introduce malware or harmful code; interfere with the operation or security of the Service; probe systems for vulnerabilities without authorization; place an unreasonable automated burden on the Service; reverse engineer the Service except where such restrictions are prohibited by law; reproduce or resell the Service without permission; impersonate another person or Organization; facilitate fraudulent, abusive, or unlawful activity; use an AI Feature to generate content that is unlawful, defamatory, discriminatory, or infringing, or attempt to circumvent an AI Feature’s safeguards; or access or use the Service to build a competing product or service.

10. CauseWell Intellectual Property

CauseWell Solutions and its licensors retain all rights in the Service other than Organization Data, including rights relating to software, source code, interface design, branding, trademarks, graphics, documentation, Help Centre materials, reports and report layouts, templates, starter libraries, workflows, taxonomies, and other materials developed by CauseWell.

Subject to these Terms and payment of applicable fees, CauseWell grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to use the Service solely for your Organization’s internal purposes during your subscription.

11. Feedback

We welcome suggestions, ideas, bug reports, and other feedback about CauseWell. If you provide feedback, you grant CauseWell an irrevocable, perpetual, worldwide, royalty-free, fully sublicensable licence to use, reproduce, modify, and incorporate that feedback into the Service and CauseWell’s other products and services, without obligation to compensate you. Providing feedback does not give CauseWell ownership of your Organization Data or confidential organizational information.

12. Free Trials

CauseWell may offer eligible Organizations a 14-day free trial of an available subscription plan. The features available during the trial correspond to the plan and billing option selected when the trial begins.

Unless the Organization cancels the subscription or changes plans before the end of the trial, the Organization will remain enrolled in the selected plan and the applicable subscription fee will be charged to the authorized payment method when the trial ends. Applicable pricing, billing frequency, annual prepayment amount where applicable, and the date on which the first payment will be charged will be disclosed before the trial is activated. CauseWell will send a reminder to the account’s billing contact at least seven days before the trial ends and the first payment is charged.

CauseWell may limit repeated or abusive use of free trials.

13. Subscriptions and Fees

Paid access to CauseWell is provided according to the plan and billing option selected at checkout. Subscription prices, included features, benefits, and billing intervals are displayed before purchase. Subscriptions may be billed monthly, annually, or on another clearly disclosed billing cycle. Annual subscriptions are prepaid for the full annual subscription term. CauseWell may offer annual pricing at a discount compared with monthly billing; the applicable annual price will be the price displayed at checkout. Subscriptions automatically renew at the end of each billing period for a period of the same length, at the then-current price, unless cancelled before the renewal date. For annual subscriptions, CauseWell will send a renewal reminder to the account’s billing contact at least 30 days before the renewal date.

By starting a paid subscription or a trial that converts to a paid subscription, you authorize CauseWell and its payment processor, Stripe, to charge the applicable fees and taxes to your selected payment method. CauseWell does not directly store complete payment-card numbers.

Prices may change from time to time. Price changes will not apply retroactively to amounts already paid, and we will provide at least 30 days’ notice before a price change takes effect for an existing recurring subscription, which will apply from the next renewal date. Certain subscription options may include additional benefits, services, support levels, consultation time, data-export functionality, or other features as described on the CauseWell website, in the Service, or at checkout. Such benefits apply only while the Organization remains eligible for the applicable subscription option and may be subject to reasonable usage, scheduling, availability, or other conditions disclosed at purchase.

CauseWell may offer optional add-ons, modules, features, additional capacity, professional services, or other enhancements for an additional fee. Some add-ons may require an annual CauseWell subscription and may be offered only on an annual or other specified billing basis. Eligibility, included functionality, fees, billing interval, subscription term, and other applicable commercial terms will be disclosed before purchase. Unless otherwise stated at purchase, paid add-ons form part of the Organization’s subscription and are subject to these Terms.

CauseWell may introduce, modify, replace, or discontinue add-ons from time to time in accordance with these Terms. Cancellation of an add-on stops its future renewal but does not entitle the Organization to a refund or prorated credit for amounts already paid, except where required by applicable law or where CauseWell determines that a billing error has occurred. Unless otherwise stated at purchase, access to a prepaid add-on continues until the end of its applicable paid term.

14. Taxes

Subscription fees do not include applicable sales, use, value-added, harmonized sales, goods and services, or similar taxes unless expressly stated otherwise. You are responsible for all applicable taxes associated with your subscription. Where CauseWell is required to collect applicable taxes, those amounts will be added to the subscription charge.

15. Failed Payments

If a subscription payment fails, CauseWell or Stripe may attempt to process the payment again. We may notify the Organization and request an updated payment method. If payment remains outstanding, we may suspend or restrict access to paid features after reasonable notice. Suspension for non-payment does not remove the Organization’s obligation to pay amounts already due, and overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. CauseWell will not intentionally delete Organization Data immediately solely because a payment attempt fails.

16. Cancellation

Organizations may cancel a subscription through any cancellation options made available in CauseWell or by contacting CauseWell support. Cancellation must be received at least five business days before the next renewal date to take effect for that renewal period; cancellations received after that date will take effect at the end of the following billing period. Cancellation stops future subscription renewals. Monthly subscriptions generally continue until the end of the current paid monthly billing period. Annual subscriptions are prepaid and, if cancelled before the end of the annual term, access generally continues through the remainder of that paid annual term. Cancellation does not shorten the prepaid annual term or create a right to a refund or prorated credit. After paid access ends, account functionality may be restricted.

17. Refunds

Subscription fees and add-on fees are non-refundable once charged after the applicable free trial period has ended, except where required by applicable law or where CauseWell determines that a billing error has occurred. Organizations are encouraged to use the 14-day free trial to determine whether CauseWell is appropriate for their needs before a paid subscription begins. Cancellation prevents future renewals but does not result in a refund or prorated credit for amounts already paid, including prepaid annual subscription or add-on fees.

18. Data Export and Account Closure

An Organization may stop using CauseWell at any time. Data-export options depend on the Organization’s subscription and may be described on the CauseWell website, in the Service, or at checkout. Organizations with an eligible annual subscription may use self-service export functionality from their dashboard up to once per month, subject to the functionality and reasonable technical limits then available. Organizations on a monthly subscription may request an export of their Organization Data at the time of cancellation, and CauseWell will use reasonable efforts to fulfill the request within 30 days. CauseWell may provide the export in a reasonable available format and may require verification that the request is authorized by the Organization.

Following cancellation or termination, CauseWell will normally retain Organization Data for up to 30 days after paid access ends to provide a reasonable opportunity for any permitted retrieval or export. During that period, access to some functionality may be limited. After the applicable retention period, Organization Data may be scheduled for deletion from active systems, subject to normal backup-retention cycles, legal requirements, security requirements, and information CauseWell is permitted or required to retain. Organizations are responsible for requesting or completing any available export they wish to preserve before the retention period expires. Once Organization Data has been permanently deleted, CauseWell may not be able to recover it. If CauseWell decides to permanently discontinue the Service, it will make reasonable efforts to provide at least 60 days’ notice so that Organizations can export their Organization Data.

19. Backups and Recovery

CauseWell and its infrastructure providers use backup and recovery measures designed to support the reliability of the Service. Backups are intended for disaster recovery and service continuity and should not be treated as an archival service for individual customer records. Organizations remain responsible for maintaining copies of information they are legally or operationally required to retain outside CauseWell where appropriate. CauseWell does not guarantee that every deleted record or file can be individually restored from backup, and CauseWell will not be liable for any loss of or damage to Organization Data resulting from backup or recovery failures.

20. Third-Party Services

CauseWell relies on third-party technology providers to operate portions of the Service, including providers for hosting and infrastructure, database services, authentication, file storage, email delivery, payments, artificial intelligence, analytics, and website functionality. Current providers include Supabase, Cloudflare, Resend, Stripe, and Anthropic. The use of personal information by CauseWell and its service providers is further described in the CauseWell Privacy Policy.

CauseWell is not responsible for an interruption, failure, or data loss caused by a third-party provider outside CauseWell’s reasonable control, although we will make reasonable efforts to restore affected Service functionality.

21. Beta and Early-Access Features

From time to time, CauseWell may make beta, pilot, preview, experimental, or early-access features available. Such features may change without notice, contain bugs or errors, be incomplete, perform differently from generally available features, or be discontinued. Beta features are provided “as is” without any warranty, and CauseWell will have no liability arising from or related to the use of beta features. Beta features should not be relied upon for critical organizational functions unless CauseWell specifically states otherwise.

22. Availability and Maintenance

CauseWell aims to provide a reliable Service but does not currently offer a contractual uptime service-level agreement unless one is expressly agreed in writing. The Service may occasionally be unavailable because of maintenance, upgrades, security measures, technical failures, third-party provider outages, or circumstances outside our reasonable control. Where practical, we will make reasonable efforts to provide notice of significant planned maintenance. Unless otherwise expressly agreed in writing, periods of unavailability do not entitle the Organization to a refund, service credit, or other compensation.

23. Support

CauseWell provides support through the methods made available on our website, within the Service, or through the CauseWell Help Centre. Standard support is provided on a reasonable and timely basis. Certain eligible annual subscriptions may include Premium Support with a target initial response time of less than 24 hours, as described at purchase. A target response time is not a guaranteed resolution time and may be subject to reasonable exclusions or service conditions disclosed with the applicable plan. Unless otherwise expressly stated as part of a paid plan or separate agreement, CauseWell does not guarantee a particular response or resolution time.

Eligible annual subscriptions may include governance consultation or onboarding sessions as described at purchase. Where an annual plan includes two 30-minute governance consultation sessions per annual subscription term, sessions must be scheduled and used during that term, are subject to reasonable scheduling availability, do not roll over to a subsequent term, and have no cash or refund value. Consultation sessions are intended to support onboarding and use of CauseWell and do not constitute legal, accounting, tax, audit, HR, accreditation, or other professional advice. CauseWell will not be liable for any action taken or not taken in reliance on information provided during a consultation session.

24. Governance and Compliance Disclaimer

CauseWell is a technology and practice-management platform. CauseWell does not provide legal, accounting, tax, audit, employment, HR, regulatory, accreditation, or other professional advice. CauseWell’s starter libraries, suggested practices, templates, reminders, AI-generated materials, and other content are provided for informational and organizational purposes only.

The presence of an item within CauseWell does not mean that the item is legally required for every Organization. Likewise, marking items complete or approved within CauseWell does not guarantee that an Organization complies with applicable law, Canada Revenue Agency requirements, funder requirements, accreditation standards, contractual requirements, or professional standards. Your Organization remains responsible for determining which requirements apply to it and for obtaining appropriate professional advice.

25. Accreditation and Third-Party Standards

CauseWell may provide functionality or resources designed with commonly used nonprofit standards, accreditation frameworks, governance practices, or funder expectations in mind. Unless CauseWell expressly states otherwise, CauseWell is not affiliated with or endorsed by the organization that publishes a referenced standard; use of CauseWell does not constitute accreditation; CauseWell cannot guarantee that documentation maintained within the Service will satisfy an accrediting body; and third-party standards may change independently of CauseWell.

Organizations remain responsible for reviewing the current requirements of any regulator, accrediting body, funder, or other third party with which they interact.

26. Security

CauseWell uses technical and organizational safeguards intended to protect the Service and Organization Data. However, no internet-based system can guarantee complete security. You are responsible for protecting account credentials, configuring appropriate Organization permissions, promptly removing users who should no longer have access, maintaining suitable internal security practices, and notifying CauseWell promptly of suspected unauthorized access. More information is available in the CauseWell Privacy Policy. If CauseWell becomes aware of a breach of security safeguards involving Organization Data, CauseWell will notify the Organization without unreasonable delay and provide information reasonably available to CauseWell to help the Organization assess and meet its own obligations.

27. Confidentiality

CauseWell will treat non-public Organization Data as confidential and will not disclose it except as necessary to provide the Service, to authorized service providers, as instructed by the Organization, where required by law, where reasonably necessary to investigate fraud or security issues, or as otherwise permitted under these Terms or the Privacy Policy. This confidentiality obligation continues for three years after the termination or expiry of the Organization’s subscription.

These obligations do not apply to information that is publicly available through no breach by CauseWell, was already lawfully possessed by CauseWell without confidentiality obligations, is independently developed without using the Organization’s confidential information, or is lawfully received from another source without confidentiality restrictions.

28. Suspension and Termination by CauseWell

CauseWell may suspend or terminate access if we reasonably believe these Terms have been materially violated, payment remains overdue, an account poses a security risk, the Service is being used unlawfully, continued access could harm CauseWell or another party, or suspension or termination is required by law. Where reasonably possible, CauseWell will provide notice and an opportunity to resolve the issue before terminating an account. Immediate suspension may occur where necessary to address an urgent security, legal, or operational risk. If CauseWell terminates an account for cause, no refund, prorated credit, or compensation will be owed for any remaining prepaid subscription period.

29. Disclaimer of Warranties

To the maximum extent permitted by applicable law, CauseWell is provided “as is” and “as available,” and CauseWell disclaims all implied warranties and conditions, including implied warranties or conditions of merchantable quality, fitness for a particular purpose, and non-infringement. CauseWell does not warrant that the Service will operate without interruption, be error-free, that every feature will remain available indefinitely, that information generated or presented through the Service (including AI Output) will be complete or accurate, or that use of CauseWell will result in legal, regulatory, governance, accreditation, or compliance outcomes. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

30. Limitation of Liability

To the maximum extent permitted by applicable law, CauseWell Solutions and its owner, employees, contractors, and affiliates will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages arising from or relating to the Service, including loss of profits, revenue, goodwill, opportunities, or data. This includes damages arising from reliance on AI Output, templates, starter libraries, or other content provided through the Service. These limitations apply however the liability arises, whether in contract, tort (including negligence), or otherwise, even if CauseWell has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, CauseWell’s total aggregate liability arising from or relating to the Service will not exceed the greater of (a) the amount paid by the Organization to CauseWell during the twelve months immediately preceding the event giving rise to the claim, or (b) CAD $100. For clarity, this limitation applies to CauseWell’s liability and does not limit the Organization’s indemnification obligations under Section 31.

31. Indemnification

To the extent permitted by law, an Organization agrees to indemnify and hold harmless CauseWell Solutions and its owner, employees, and contractors from third-party claims arising from Organization Data submitted by or on behalf of the Organization, the Organization’s unlawful use of the Service, the Organization’s use of AI Output, the Organization’s violation of these Terms, or the Organization’s violation of another person’s rights. CauseWell will provide prompt notice of any such claim and reasonable cooperation in its defense, and the Organization will not settle any claim in a manner that imposes obligations on CauseWell without CauseWell’s prior written consent. This obligation does not apply to the extent a claim results from CauseWell’s own breach of these Terms, negligence, or unlawful conduct.

32. Changes to the Service

CauseWell may add, modify, replace, or discontinue features from time to time. Where a change would materially reduce core functionality available under a paid subscription, we will make reasonable efforts to provide advance notice where practical. Unless otherwise expressly agreed in writing, modification or discontinuation of a feature does not entitle the Organization to a refund, credit, or other compensation.

33. Changes to These Terms

We may update these Terms periodically. The current version will be posted on the CauseWell website with the date it was last updated. If a change materially affects existing customers, we will provide at least 30 days’ advance notice through email, the Service, or another appropriate means. Continued use of CauseWell after updated Terms take effect constitutes acceptance of the revised Terms where permitted by law. If you do not agree to a material change, you may cancel your subscription before the change takes effect.

34. Electronic Communications

You agree that CauseWell may communicate with you electronically regarding your account, security, subscriptions and billing, changes to the Service, these Terms, the Privacy Policy, and other operational matters. Marketing communications are handled separately and may be subject to consent and unsubscribe requirements.

35. Force Majeure

CauseWell will not be responsible for delay or failure to perform caused by circumstances reasonably beyond our control, including natural disasters, pandemics, epidemics, public health emergencies, internet or telecommunications failures, cyberattacks, labour disruptions, governmental actions, sanctions, supply chain disruptions, widespread infrastructure failures, or failures of critical third-party providers.

36. Assignment

You may not assign or transfer your rights under these Terms without CauseWell’s prior written consent, except as part of a merger, amalgamation, or sale of all or substantially all of the Organization’s assets, provided that the assignee is not a competitor of CauseWell and the Organization provides CauseWell with written notice within 30 days. CauseWell may assign these Terms in connection with a sale, transfer, restructuring, or other disposition of the business or assets associated with CauseWell, provided the assignee assumes CauseWell’s obligations under these Terms, subject to applicable law.

37. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect. The invalid or unenforceable provision will be interpreted or modified only to the extent necessary to make it enforceable where permitted by law.

38. No Waiver

Failure by CauseWell to enforce a provision of these Terms does not waive the right to enforce that provision later. No waiver of any provision will be effective unless made in writing and signed by CauseWell.

38A. Survival

Sections 6, 8, 9, 10, 11, 14, 17, 18, 24, 25, 26, 27, 29 through 31, and 40, and any other provisions which by their nature are intended to survive, will survive cancellation or termination of these Terms.

39. Entire Agreement

These Terms, together with the CauseWell Privacy Policy, any in-product notices relating to AI Features, and any applicable subscription or order terms presented at purchase, constitute the entire agreement between CauseWell and the Organization concerning use of the Service, and supersede all prior or contemporaneous discussions, representations, and agreements relating to the subject matter hereof, unless a separate written agreement has been signed. If a separate written agreement expressly conflicts with these Terms, the signed written agreement will govern to the extent of the conflict.

40. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles. Subject to any rights or remedies that cannot legally be waived, the parties submit to the exclusive jurisdiction of the courts of Ontario, Canada for the resolution of any disputes arising from these Terms or the Service.
